We GTC IT, on behalf of our official mandate in accordance with the law of Russia Federation, hereby issue this SOFT CORPORATE OFFER on behalf of our Seller (Refinery) with full corporate responsibilities. We confirm and certify our Seller (Refinery) has the intention and capacity within the stipulated law of Russian Federation to supply the commodities according to the terms and conditions hereinafter issued by the Seller (Refinery):

Total quantity: 50,000 MT Spot Lift, and 100,000 MT monthly Contract, one year up to five years.
Target price: GROSS US$ 200.00 / NET US$ 190.00 PER MT for Spot and Contract, one up to five years.
Commission: 10.00 US - $, 5.00 US $ on Seller side- paid by Seller,
5.00 US $ on Buyer side- paid by Buyer.

FOB ROTTERDAM /PRIMORSK /DIP AND PAY TERM & TRANSACTION PROCEDURES
 
1. Buyer confirms SCO SOFT CORPORATE OFFER and acceptance of the Seller’s procedures, issues ICPO with Seller’s procedures incorporated on the ICPO plus Official Letter of Acceptance.
 
2. Seller issues Contract and CI (Commercial Invoice) and Buyer counter signs and return within 48 Hours to Seller
 
3. Buyer provides to Seller its TANK STORAGE AGREEMENT (TSA) from a reputable tank
farm storage company which must be Transneft certified for Seller verification and an
irrevocable official letter confirming that upon receipt of the PPOP from Seller the Buyer
must provide their tank storage receipt (TSR) from their storage company.
 
4. Seller issues to Buyer the PPOP documents:
I. Passport product analysis.
II. Notarized Authorization to Sell (ATS)
III. Company Registration Certificate.
IV. Tax Registration Certificate
V. Notarized Commitment to Supply
VI. Notarized Statement of Availability of Product.
 
5. Within 48 hours on receipt of the PPOP Buyer provides his TSR and Seller commences
injection into Buyers leased tank and Buyer verifies the product in the storage tank at the
port and Buyer conduct dip test on the product.
 
6. Upon Buyer Successful Q&Q Dip Test on the product by SGS, Buyer makes the payment for the Total Value of the Product injected into his storage Tanks through MT103-T/T.
 
7. Upon Seller Receipt of the Payment for the Product from the Buyer, Seller issues to Buyer the Title Ownership of the product and all Exporting Document of the product.
 
8. Buyer lifts the product with its Vessel Tanker.
